Decision by the Board of Directors held on February 19, 2020

Based on the recommendation of the Compensation, Appointments and CSR Committee, the Board of Directors has decided on February 19, 2020, to propose the reappointment of Mrs. Iris Knobloch, currently Vice-Chairman of the Board of Directors and Lead Director, for a three-year term.

Based on the recommendation of the Compensation, Appointments and CSR Committee, the Board of Directors has decided on February 19, 2020, to propose the reappointment of Mrs. Iris Knobloch, currently Vice-Chairman of the Board of Directors and Lead Director, for a three-year term.

Furthermore, the Board of Directors has decided to propose the appointment of Mr. Bruno Pavlovsky, Chairman of CHANEL SAS and Chairman of Fashion activities of Chanel, as independent Director of the company for a further three-year term.

Mr. Bruno Pavlovsky began his career with professional services firm Deloitte before joining Chanel in 1990. He also serves as Chairman of Métiers d'Art at Chanel, Vice-Chairman of French women's fashion association (Chambre Syndicale de la Mode Féminine), Chairman of the Influence and Public Policy Committee at French luxury goods association Comité Colbert, and Chairman of the corporate foundation of French fashion institute (Institut Français de la Mode). Mr. Pavlovsky's other roles include independent director of Rémy Cointreau and Chairman of Goossens Paris and Eres.

The draft resolutions will be placed on the agenda of the next 2020 Shareholders' Meeting.
